These Terms govern your use of Nexelo, a business management platform operated by Nexelo Technologies Pvt. Ltd. ("Nexelo", "we", "us"). By creating an account or using the service, you agree to these Terms on behalf of yourself and, if applicable, the company you represent ("Customer").
Nexelo provides HR, payroll, inventory, accounting, CRM, events and related business modules, available on our cloud infrastructure or deployed on Customer's own server ("on-premise"). We may add, change or retire individual features over time; we'll give reasonable notice before removing a feature the Customer actively relies on.
The Customer is responsible for all activity under its account, for keeping login credentials confidential, and for the accuracy of data entered — including employee, payroll, financial and biometric attendance data. The Customer is responsible for obtaining any consents required from its own employees, customers or event registrants before that data is entered into Nexelo.
Paid plans are billed in advance on a recurring basis (monthly, unless otherwise agreed) through our payment processor. Prices are exclusive of applicable GST, which is charged separately. Failure to pay may result in suspension of access after reasonable notice. See our Refund & Cancellation Policy for cancellation and refund terms.
As between Nexelo and the Customer, the Customer owns all data it enters into the platform ("Customer Data"). Nexelo acts as a data processor for Customer Data and will not use it for any purpose other than providing and improving the service, except as required by law. On termination, the Customer may export its data for a reasonable period before deletion; see our Privacy Policy for details.
Where Nexelo is deployed on Customer's own infrastructure, the Customer is solely responsible for the security, backup and availability of that infrastructure. Nexelo's support obligations for on-premise deployments are limited to the application itself, as agreed in the applicable order form.
You agree not to use Nexelo to store or process unlawful content, to attempt to breach the security of the platform or other tenants' data, or to reverse-engineer the software except as permitted by law.
The service is provided on an "as is" basis without warranties of any kind beyond what is required by applicable law. To the maximum extent permitted by law, Nexelo's aggregate liability for any claim arising from the service is limited to the fees paid by the Customer in the three months preceding the claim. Nothing in these Terms limits liability that cannot be limited under Indian law.
Either party may terminate for convenience per the notice period in the order form, or immediately for material breach that isn't cured within a reasonable period after notice.
These Terms are governed by the laws of India, with courts in Hyderabad, Telangana having exclusive jurisdiction.
We may update these Terms from time to time. We'll post the updated version here with a new "Last updated" date, and for material changes, notify account admins in advance.
